Israel's Foresight Autonomous Holdings (Nasdaq and TASE: FRSX) has signed a non-binding term sheet to acquire a 50.01% controlling interest in a company developing two data centre projects in Poland with combined planned capacity of up to 270 MW, the Ness Ziona-based firm said in a statement on September 25.

The move takes the 3D perception systems developer well outside its core business of vision and collision-prevention technology, and into one of Central and Eastern Europe's fastest-expanding digital infrastructure markets. Poland's colocation capacity is forecast to rise from about 29 MW in 2026 to 511 MW by 2031, according to figures from the European Data Centre Association cited by Foresight.

The target company is expected to hold a 66.67% stake in each of the two Polish project companies building data centres in Warsaw and Wroclaw. The Warsaw scheme has planned power capacity of 130 MW, while Wroclaw is designed for up to 140 MW.

The remaining 33.33% of each project is held by Polish entrepreneurs who lead grid connection processes, techno-economic analysis and regulatory work, and who are securing grid connection terms for projects totalling several gigawatts.

The Warsaw project, in Ożarów, covers roughly 3.2 hectares of secured land with an option on a further 2.2 hectares. A grid connection application has been filed, with the final permit expected by the end of 2027. The Wroclaw site covers about 10 hectares; its feasibility study is complete, and the land is under negotiation.

The purchase price will be set by an independent valuation firm agreed by both sides before definitive documents are signed, and the consideration would be financed entirely through a seller loan. At closing, Foresight expects to contribute around $1mn for its pro rata share of outstanding shareholder loans, and would commit up to $2.5mn in further shareholder loans, subject to an agreed budget, business plan and project milestones.

Chief executive Haim Siboni said the proposed deal extended a previously announced search for growth beyond the company's existing activities, adding that Foresight continued to develop autonomous driving solutions for unmanned ground and aerial vehicles.

Chief financial officer Eli Yoresh owns a 10% stake in the target company.
